Wilwigo Private Alpha Terms

1. Agreement

These Terms are an agreement between you and Wilwigo Inc. (“Wilwigo”, “we”, “us”).

By selecting the acknowledgment checkbox and choosing Agree and continue, you agree to these Terms.

The Wilwigo Privacy Notice separately explains how Wilwigo collects, uses, discloses and protects personal information.

If you do not agree to these Terms, do not use Wilwigo.

2. Who may use Wilwigo

You may use this private alpha only if:

  • you are at least 18 years old;
  • you are legally permitted to use Wilwigo and enter into these Terms where you are located;
  • you use Wilwigo for your own personal, non-commercial purposes; and
  • the information you provide about yourself is reasonably accurate.

Wilwigo is operated by Wilwigo Inc., a Canadian federal corporation registered in Ontario, Canada. If mandatory law where you live or use Wilwigo gives you rights or protections that cannot lawfully be waived or limited by these Terms, those rights and protections continue to apply.

Your account is personal. You may not sell or transfer it, share access to it, or allow another person to use it.

3. What Wilwigo is

Wilwigo helps friends share planned city-level presence and notice when their plans overlap.

Wilwigo uses information you and your friends provide. It is not live location and does not verify where anyone physically is.

Wilwigo is not an emergency, safety, monitoring, navigation or location-verification service. Do not rely on Wilwigo to locate someone, determine whether someone is safe, or make urgent travel or security decisions.

4. Your account

You are responsible for keeping access to your account and device secure and for activity performed through your account.

Do not give Wilwigo your password, authentication token, recovery code or other login credential.

If you believe someone has accessed your account without permission, contact Wilwigo promptly.

5. Your profile, home base and trips

You are responsible for the profile, home base, trips and other information you add to Wilwigo and for keeping that information reasonably current.

Your accepted friends may see information that Wilwigo makes friend-visible, including your home city and country and trips you choose to share with friends.

Wilwigo’s location information is based on the home base and trips entered into the service. It is not proof of anyone’s actual physical location.

Hidden stays

A Hidden stay remains visible to you but is not disclosed to your friends.

For friend-facing location and overlap features, Wilwigo ignores a Hidden stay. This means that, unless another Friends-visible stay applies, Wilwigo may represent you to friends as being at home even while you are physically away.

Do not rely on another person’s apparent home or travel status in Wilwigo as proof of where that person actually is.

6. Content you provide

You keep any ownership rights you have in content you provide to Wilwigo.

You give Wilwigo a non-exclusive, royalty-free licence to host, store, copy, process, transmit and display that content only as reasonably necessary to:

  • provide Wilwigo and apply your visibility choices;
  • maintain, secure and troubleshoot the service;
  • work with service providers that operate Wilwigo on our behalf; and
  • comply with applicable law and valid legal requirements.

This licence lasts only for as long as reasonably necessary for those purposes, subject to the retention and deletion practices described in the Privacy Notice.

You must have the right to provide any content you add to Wilwigo.

Do not add sensitive information that Wilwigo does not need, such as passwords, authentication credentials, passport or identity-document numbers, financial-account information, health information, booking or access codes, or precise accommodation addresses.

7. Acceptable use

You must not use Wilwigo to:

  • violate applicable law or another person’s rights;
  • impersonate another person or deliberately provide materially false identity information;
  • harass, threaten, stalk, intimidate or endanger someone;
  • attempt to determine or monitor another person’s real-time physical location;
  • attempt to uncover information deliberately hidden by another participant;
  • access another person’s account or private information without permission;
  • circumvent authentication, friendship, blocking, privacy or visibility controls;
  • scrape, systematically collect, sell or republish participant information;
  • upload malicious code or interfere with the operation or security of Wilwigo;
  • probe, scan or test Wilwigo for security vulnerabilities without prior authorization;
  • use automated systems to access Wilwigo in a manner that places unreasonable load on the service; or
  • assist another person in doing any of these things.

You remain responsible for your interactions with other participants.

8. Our right to protect the service

Wilwigo may remove or restrict content, limit functionality, suspend an account or end participation when reasonably necessary to:

  • enforce these Terms;
  • protect a participant or Wilwigo;
  • respond to suspected misuse, fraud or unauthorized access;
  • investigate a privacy or security issue;
  • comply with applicable law or a valid legal requirement; or
  • discontinue or materially change the private alpha.

Where reasonably possible, Wilwigo will provide notice of a suspension or termination unless doing so could create a security, privacy, safety or legal risk.

Suspension or termination does not automatically determine how personal information is retained or deleted. The Privacy Notice and account-deletion process govern that separately.

9. Wilwigo’s intellectual property

Except for content provided by participants, Wilwigo and its associated software, designs, branding and other materials are owned by or licensed to Wilwigo Inc. and are protected by applicable intellectual-property laws.

While you remain eligible to participate, Wilwigo gives you a personal, limited, non-exclusive, non-transferable right to use the private alpha in accordance with these Terms.

You may not copy, distribute, sell, license or commercially exploit Wilwigo or its software except as permitted by applicable law.

10. Feedback

You may provide feedback or suggestions voluntarily.

Unless we agree otherwise, Wilwigo may use that feedback to develop and improve the service without payment or obligation to you.

Do not include confidential information belonging to another person in feedback.

11. Private-alpha availability and changes

Wilwigo is an early-stage service provided for testing and evaluation.

Features may contain errors, be incomplete or inaccurate, change, become temporarily unavailable, or be removed. Information may be delayed or lost, and Wilwigo may discontinue the private alpha.

You are responsible for keeping your own copy of information that is important to you.

Wilwigo may change the service as the alpha develops. If a change materially affects these Terms or the processing or visibility of personal information, Wilwigo will provide the notice and renewed acceptance required before that change applies.

Wilwigo may send you communications reasonably necessary to operate your account or the private alpha, including security, privacy, legal, account, support and service-availability notices.

This provision does not constitute consent to receive marketing messages.

13. Disclaimers

To the maximum extent permitted by applicable law, Wilwigo is provided as is and as available.

Wilwigo does not guarantee that the private alpha will always be available, uninterrupted, error-free or secure, or that its information will always be complete, accurate or current.

Wilwigo does not guarantee that it will identify every overlap between friends or accurately represent any person’s actual physical location.

Nothing in these Terms excludes any warranty, right, remedy or obligation that applicable law does not permit Wilwigo to exclude.

14. Limitation of liability

To the maximum extent permitted by applicable law, Wilwigo Inc. will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, goodwill or data, arising from or relating to your use of or inability to use the private alpha.

To the maximum extent permitted by applicable law, Wilwigo Inc.’s total aggregate liability arising from or relating to the private alpha or these Terms will not exceed CAD $100.

These limitations do not apply to liability that applicable law does not permit to be excluded or limited.

15. Third-party claims caused by your conduct

To the extent permitted by applicable law, if your unlawful use of Wilwigo, your material breach of these Terms, or content you provide without the necessary rights causes a third-party claim against Wilwigo Inc., you are responsible for the reasonable losses and costs resulting from that claim.

This does not apply to the extent a claim results from Wilwigo Inc.’s own acts or omissions.

16. Leaving Wilwigo and deleting your account

You may stop participating at any time.

Signing out or stopping use of Wilwigo does not by itself delete your account.

While signed in, you may request deletion through Delete account in the Wilwigo side menu. After you submit the request, Wilwigo will delete your account and active account information within 30 days.

Some limited information may be retained longer where permitted or required by law, for security or accountability purposes, or temporarily in backups before ordinary backup rotation completes, as explained in the Privacy Notice.

If you cannot access your account, you may use Wilwigo’s public account-deletion resource or contact Wilwigo using the contact information in the Privacy Notice.

17. Changes to these Terms

Each version of these Terms has a version number and effective date.

If Wilwigo makes a material change to these Terms, you will be shown the updated Terms and asked to accept them before continuing to participate.

Minor corrections, formatting changes or clarifications that do not materially change your obligations, rights or privacy may be made without renewed acceptance.

18. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

Subject to any rights or jurisdiction that applicable law does not permit these Terms to restrict, disputes relating to Wilwigo or these Terms may be brought before a court of competent jurisdiction in Ontario.

Nothing in these Terms limits any non-waivable rights or remedies available to you under applicable law.

If mandatory consumer, privacy or other law in your location applies and cannot lawfully be varied by these Terms, that law continues to apply to the extent required.

19. General

If part of these Terms is found to be invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure by Wilwigo to enforce a provision on one occasion does not waive the right to enforce it later.

Section headings are for convenience and do not change the meaning of these Terms.
